Website Terms of Use

These Website Terms of Use (these "Terms of Use") govern your access to and use of the website located at www.fastgripper.com, including any content, functionality, and services offered on or through it (the "Site"). The Site is operated by Transcend Mechanics, Inc. (doing business as FastGripper) ("Company", "we", "our", or "us").

Please read these Terms of Use carefully before using the Site. By using the Site, you accept and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not access or use the Site.

Purchases of physical products through the Site are additionally governed by our Terms and Conditions of Sale. If these Terms of Use conflict with the Terms and Conditions of Sale with respect to a purchase, the Terms and Conditions of Sale control.

Our separate SaaS application at app.fastgripper.com is covered by its own Terms of Service.

Eligibility

The Site is offered and available to users who are at least 18 years of age (or the legal age to form a binding contract in your jurisdiction, if older). By using the Site, you represent that you meet this requirement.

Changes to these Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes.

Accessing the Site

We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.

You are responsible for:

  • Making all arrangements necessary for you to have access to the Site.
  • Ensuring that all persons who access the Site through your internet connection are aware of these Terms of Use and comply with them.

Intellectual property rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may use the Site only for your personal or internal business evaluation and purchasing purposes. You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site, except as incidental to normal web browsing (e.g., browser caching) or as expressly permitted in writing by us.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.

Product specification sheets and documentation may be downloaded and printed for your evaluation and internal use in connection with FastGripper products. If we publish any materials under an open-source hardware or software license, the terms of that license govern your use of those materials.

Trademarks

The "FastGripper" and "Transcend Mechanics" names, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

Prohibited uses

You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
  • Use the Site to transmit or procure the sending of any advertising or promotional material without our prior written consent, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site, without our prior written consent.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
  • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Site.

User contributions

The Site may from time to time allow you to submit content — for example, product reviews, comments, or support requests (collectively, "User Contributions"). Any User Contribution you submit will be considered non-confidential and non-proprietary. By providing a User Contribution, you grant us and our licensees a perpetual, royalty-free, worldwide license to use, reproduce, modify, display, and distribute it in connection with the Site and our business.

You represent and warrant that you own or control all rights in your User Contributions, and that they comply with these Terms of Use and applicable law. You are responsible for any User Contribution you submit, and we have the right (but not the obligation) to remove any User Contribution in our sole discretion.

Reliance on information posted

The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. Product specification sheets are the exclusive statements of product capabilities as described in our Terms and Conditions of Sale, and the Product Safety & Intended Use Notice contains important safety information you must review before operating any product.

If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Disclaimer of warranties

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, AND DOES NOT LIMIT THE EXPRESS LIMITED WARRANTY THAT APPLIES TO PURCHASED PRODUCTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, OR ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

LIABILITY ARISING FROM THE PURCHASE OR USE OF PRODUCTS IS GOVERNED BY, AND LIMITED AS SET OUT IN, OUR TERMS AND CONDITIONS OF SALE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site other than as expressly authorized in these Terms of Use.

Governing law and dispute resolution

These Terms of Use are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms of Use or the Site is subject to the dispute-resolution provisions (including binding arbitration and class-action waiver) set out in Section 17 of our Terms and Conditions of Sale, which apply to these Terms of Use with equal force.

Waiver and severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent necessary and the remaining provisions will continue in full force and effect.

Entire agreement

These Terms of Use, our Privacy Policy, and — with respect to purchases — our Terms and Conditions of Sale, Refund Policy, Limited Warranty, and Product Safety & Intended Use Notice constitute the sole and entire agreement between you and the Company regarding the Site.
